The Certificate Under Seal is New York State’s equivalent of a Certificate of Good Standing or Certificate of Existence. You must apply for a Certificate Under Seal through the New York State Department of State by mail or fax. The IRS does not issue certificates that are sealed.
Your certificate will be mailed to you by the Department of State via USPS First-Class Mail. You can pay extra fees for quicker service; see the New York State Division of Corporations’ Business Corporations FAQs page for more information.

Keep a copy of any document or correspondence you send to the Committee, including your completed application and all attached documents, in your own “admission file” to keep track of any notices and information you receive from the Committee.
The State Board of Law Examiners (“the Board”) then formally certifies you for admission to one of the four departments of the Appellate Division in the State based on your address if you pass the Bar Exam and the M.P.R.E. A “Notice of Certification” will be sent to you by the Board.
A fillable applicant checklist is also included, as well as a fillable rider if more space is needed for responses. Do not retype the questionnaire or the forms that go with it. Reformats will be returned to the customer.
You may then file an application to the above address if you have been accredited to the Appellate Division, First Department. Do not file with us until you have received the Board’s “Notice of Certification.” A preliminary interview date with the Committee will be assigned once we receive your completed application, and a notice will be mailed to you. Following the Committee’s review of your application, you will be notified of the date, time, and location of your interview, mandatory orientation program, and admission ceremony, during which the oath of office will be administered in open court. This notice will also let you know if you need to submit any additional documentation to finish your application. You may download the General or Lawyer’s Assistance Forms separately if the Committee requests them. This application, interview, orientation, and oath cycle occurs on a regular basis throughout the year.
